BT Agrees Rescue Deal to Buy Debt-Laden Broadband Provider TalkTalk

The UK's biggest broadband provider has agreed to take over TalkTalk and its wholesale arm PXC, but the competition regulator must still approve the deal.

What happened

BT, the UK's largest broadband provider, has agreed a rescue takeover of rival TalkTalk. The news ends months of speculation about the future of a company that had been close to administration because of its debts.

The deal covers both TalkTalk's consumer broadband business and PXC (PlatformX Communications), its wholesale business. According to ISPreview, BT is acquiring both from administration.

BT chief executive Alison Kirkby called the deal "a safety net for the households and businesses who rely on TalkTalk". She said customers would gain access to BT's network and products once the regulatory process is complete.

Why TalkTalk needed rescuing

TalkTalk began as a challenger to BT. It was listed on the London Stock Exchange before private equity took it over in 2021. Since then, the BBC reports, it has built up debt while losing customers, and it became unable to pay some of the people it owes.

ISPreview says its latest accounts showed a pre-tax statutory loss of £465m for the year to 28 February 2025, up from £153m. Net debt excluding leases stood at £1.2bn, or £1.96bn including leases.

A large monthly payment to Openreach, BT's network arm, was due at the start of October. ISPreview cites an earlier estimate of £60m to £80m. Existing investor Ares Management had declined to provide new funding. Talks with other possible buyers, including Vodafone, Opus Broadband, Epiris and Octopus Investments, had not produced a deal.

The competition question

Because BT is by far the largest retail broadband provider, a takeover like this would ordinarily attract close antitrust scrutiny. ISPreview reports that BT opened talks with the UK government before the deal. The BBC says some people have raised concerns about the greater control BT will have over the broadband market.

Tom Smith, a competition lawyer and former CMA legal director, told BBC Radio 4's Today programme that the regulator will weigh what would have happened without the deal. If TalkTalk would have left the market, he said, "any deal is better than Talktalk exiting". He added that alternative bidders might have been less anticompetitive.

Andrea Jakes, joint administrator at Alvarez and Marsal, said the deal secures continuity of service for more than 2.4 million customers. The BBC and the announcement put the figure at 2.5 million across retail and wholesale. The difference is small, but the sources do not explain it. BT said the customers include vulnerable households and connections supporting critical infrastructure, such as health, emergency services and defence.

What it means for you

If you are a TalkTalk customer, the sources give no sign of immediate changes to your service, and BT describes the priority as stabilising the business. The sources do not say anything about prices, contracts or when customers might move to BT products.
